01

Acceptance of Terms & Services Overview

These Terms of Service ("Agreement" or "Terms") govern access to and use of the software-as-a-service platform, point-of-sale systems, online booking widgets, client management tools, mobile applications, and APIs provided by PlinQ OS Inc. (PlinQ, "Company," "we," "us," or "our").

By registering an account, subscribing to a plan, purchasing connected POS hardware, or utilizing the Platform, the business entity identified during signup ("Merchant," "Subscriber," "You," or "Customer") agrees to be bound unconditionally by this Agreement.

If you are entering into this Agreement on behalf of a company, salon franchise, or legal entity, you represent and warrant that you possess the requisite authority to bind that entity to these Terms.

02

Account Registration & Staff Seat Administration

To operate PlinQ OS, you must establish an administrative account and configure authorized staff profiles (stylists, aestheticians, front-desk receptionists, store managers, and accounting personnel).

  • Account Accuracy: You agree to provide true, accurate, and current business details, including legal entity names, physical salon branch addresses, and direct contact details.
  • Staff Access & Credentials: Each staff member must access the Platform through individual login credentials or PIN codes. You are solely responsible for all activities conducted under your accounts and for promptly deactivating former employees.
  • Role-Based Permission Responsibility: PlinQ OS supplies granular privilege toggles (e.g. concealing client phone numbers from junior staff, restricting discount overrides, or shielding commission percentages). The Subscriber remains solely responsible for configuring appropriate access levels.

03

Platform License & Intellectual Property

Subject to your active subscription and compliance with these Terms, PlinQ grants you a non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal salon, spa, or clinic operations.

Restrictions: You shall not: (a) reverse engineer, decompile, or disassemble any part of the PlinQ codebase; (b) lease, distribute, or sub-license the software to unauthorized third parties; (c) build a competitive booking or salon management product utilizing proprietary workflows or UI elements of PlinQ OS; or (d) scrape or systematically harvest data through automated bots or scripts.

04

Merchant Data Ownership & Chemical Formulations

Explicit Declaration of Merchant Ownership

As between you and PlinQ OS, you exclusively retain all right, title, and interest (including all copyright and trade secret protections) in all data entered into or generated through your instance, including customer names, telephone numbers, appointment histories, hair color formulas, mixing ratios, treatment photographs, and financial books.

PlinQ makes zero claim of ownership over your guest database. We will never sell, rent, license, or market to your clients, nor will we divert your guests to competing salons or third-party marketplaces.

Software Platform Only Not a Medical or Beauty Licensing Authority

PlinQ OS is a technological productivity platform. We do not provide cosmetology, trichology, aesthetic, or medical advice. The Subscriber and its licensed practitioners are exclusively responsible for obtaining and verifying all required professional licenses, certifications, client consent waivers, allergy patch tests, and regulatory compliance.

Any clinical intake templates, contraindication warnings, or formula suggestion calculators provided through PlinQ OS are reference tools only and do not substitute for professional human judgment.

08

Service Level Agreement (SLA) & High Availability

We recognize that front desk downtime on a busy Saturday costs you real revenue. PlinQ targets a monthly service availability of 99.9% ("Target Uptime"), excluding scheduled maintenance windows announced in advance.

In the event that our core booking and checkout systems experience validated unscheduled downtime exceeding our SLA, eligible subscribers may request service credits against future subscription renewals in accordance with our Enterprise SLA guidelines.

Cancel Anytime: You may cancel your month-to-month subscription at any time directly through your account settings or by contacting your account manager.

No Data Traps: Upon cancellation, your account will transition into a thirty (30) day read-only transition period. During these 30 days, you retain full access to download complete archives of your client records, formula notes, and sales histories at no additional charge.

After 30 days, your data will be permanently wiped from production environments in accordance with our secure deletion protocol.

11

Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, or business interruption.

12

Mutual Indemnification

By PlinQ OS: We will defend, indemnify, and hold you harmless from any third-party claim asserting that your authorized use of the Platform infringes any valid patent, copyright, or trademark.

By Merchant: You agree to defend and indemnify PlinQ OS against any third-party claims arising from: (a) your salon services, treatments, or retail merchandise; (b) unauthorized messaging violating TCPA rules; or (c) disputes between you and your staff regarding tips, wages, or commission rates.

13

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to this contract shall first be submitted to good-faith executive mediation. If unresolved within forty-five (45) days, disputes shall be settled through binding commercial arbitration administered by the American Arbitration Association (AAA).
